Open Heart Academy Coaching Agreement
This Agreement is entered into by and between Open Heart Academy, represented by their Master Certified Life Coach/Coaches ("Coach"), and Client ("Client"), whereby Coach agrees to provide coaching services focused on the agreed-upon objectives.
Description of Coaching
Coaching is a collaborative partnership designed to foster personal and professional growth. Through thought-provoking discussions and strategic planning, coaching empowers the Client to maximize their potential in various areas of life. It facilitates goal-setting and the development of actionable strategies for achieving those goals.
1) Coach/Client Relationship
The Coach agrees to uphold the ethical standards set by the International Coach Federation (ICF). Clients are encouraged to review the ICF Code of Ethics at https://coachfederation.org/ethics.
The Client acknowledges their sole responsibility for personal, professional, and emotional well-being, as well as the outcomes resulting from coaching. Coaching is not therapy, medical treatment, or a substitute for any professional counseling.
Coaching is a comprehensive process that may cover various aspects of life, including work, finances, health, relationships, and personal development. Implementation of coaching strategies remains the Client’s responsibility.
The Client agrees to communicate openly, be receptive to feedback, and dedicate time and energy to actively engage in the coaching process.
2) Services
The parties agree to engage in a coaching program tailored to the Client’s goals. The duration, session frequency, and coaching method (in-person, virtual, phone) have been specified in the Coaching Agreement Form submitted prior to the first scheduled meeting. The Coach will be available via email and voicemail between sessions, per the communication guidelines agreed upon.
3) Schedule and Fees
Coaching fees, session frequency, and duration are outlined in the Coaching Agreement Form submitted by the Client. The prevailing rates will apply if this Agreement has not been signed before a rate change occurs.

5) Confidentiality
This coaching relationship, as well as all information (documented or verbal) that the Client shares with the Coach, is bound by the principles of confidentiality set forth in the ICF Code of Ethics. However, communications are not subject to legally recognized privilege like medical or legal professions.
The Coach agrees not to disclose any Client information without written consent, except in circumstances including but not limited to:(a) Pre-existing information in the Coach’s possession,(b) Publicly available information,(c) Information obtained legally from a third party,(d) Compliance with lawful court orders,(e) Situations where harm or illegal activity is suspected.
The Client acknowledges the continuing obligation to raise any confidentiality concerns with the Coach in a timely manner.

7) Cancellation Policy
Clients must notify the Coach at least 2 hours in advance of a scheduled session to cancel or reschedule. The Coach reserves the right to bill for missed meetings without proper notice. Efforts will be made to reschedule missed sessions when possible.
8) Record Retention Policy
Coaching records will be retained securely for a minimum of 2 years in accordance with the Coach’s record-keeping policies.
9) Termination
Either party may terminate this Agreement at any time with 2 weeks written notice. The Client agrees to compensate the Coach for all coaching services rendered up to and including the effective date of termination.
10) Limited Liability
The Coach makes no guarantees, representations, or warranties—express or implied—regarding the coaching services provided. The Coach is not liable for any indirect, consequential, or special damages. The Coach’s total liability is limited to the amount actually paid by the Client for coaching services rendered up to the termination date.
11) Entire Agreement
This Agreement constitutes the complete understanding between the Coach and Client. It supersedes all prior agreements, whether verbal or written. Any modifications must be documented in writing and signed by both parties.
12) Dispute Resolution
If a dispute arises, both parties agree to mediate in good faith for up to 90 days before pursuing legal action. If unresolved, the prevailing party shall be entitled to recover attorney’s fees and court costs.
13) Severability
If any provision in this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in effect. If modification is required for enforceability, the provision shall be adjusted accordingly.
14) Waiver
Failure to enforce any provision of this Agreement does not waive the right to enforce it later. Strict compliance remains applicable at all times.
15) Applicable Law
This Agreement shall be governed by the laws of the State of Idaho, without regard to conflict-of-law principles.
16) Binding Effect
This Agreement is binding upon both parties, as well as their respective successors and permissible assigns.
